1.1 This AiOB SaaS Subscriber Agreement ("Agreement") is a binding contract between Words Connect PLT, LLP Registration No. 202204000391 (LLP0030660-LGN), having its registered office at No.1 Blok Mawar Desa 288, Jalan Memanda 9, 68000 Ampang, Selangor ("Words Connect", "we", "us", or "our") and you, the person or entity subscribing to the AiOB service ("Subscriber", "you", or "your").
1.2 By creating an account, subscribing to, or using the AiOB platform and its modules (collectively, the "Service"), you agree to be bound by this Agreement, our Privacy Policy, and any applicable Acceptable Use Policy. If you do not agree, you must not use the Service.
1.3 If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" and "your" refer to that entity.
2.1 The Service provides cloud-based accounting and point-of-sale software modules, accessible via web browser or mobile application. The Service is a subscription-based software-as-a-service offering.
2.2 We may add, modify, or remove features of the Service at our discretion. Material changes that materially diminish the Service will be notified to Subscribers not less than thirty (30) days in advance by email or in-app notice.
3.1 The current subscription fees are as published on our website or in-app pricing page. As of the effective date, the standard monthly subscription is RM 29.90 per module per month. An annual plan is available at ten (10) months' equivalent billed upfront.
3.2 Subscription fees are payable in advance. Monthly subscriptions auto-renew on the same day of each month. Annual subscriptions auto-renew on the anniversary of the subscription start date, unless cancelled at least seven (7) days before renewal.
3.3 All fees are exclusive of any applicable taxes (including Sales and Service Tax). Where Words Connect is required by law to charge SST or any other tax, such tax will be added to fees from the effective date of that requirement.
3.4 Free trials and free-tier usage, if offered, are subject to limits on AI-assisted feature usage, storage, and number of records. Excess usage may be throttled, paused, or blocked. We reserve the right to modify or withdraw free tiers at any time.
3.5 Payment is processed by Stripe. By providing payment details, you authorise us to charge the nominated payment method for all applicable fees.
3.6 Late Payment - Ta'widh and Gharamah. Where any sum due remains unpaid after the due date and following a written reminder, Words Connect may charge:
This clause is structured to comply with Bank Negara Malaysia Shariah Advisory Council guidelines and replaces any conventional interest-based late payment charge. The application of ta'widh and gharamah is without prejudice to any other right or remedy available to Words Connect under this Agreement or at law.
4.1 You may cancel your subscription at any time via the in-app cancellation flow. Cancellation takes effect at the end of the current billing period. You remain entitled to use the Service until that date.
4.2 Fees are non-refundable, except (a) where required by Malaysian consumer protection law; or (b) at our discretion in exceptional circumstances.
5.1 Subject to your compliance with this Agreement and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the subscription term for your internal business purposes.
5.2 You must not: (a) sublicense, resell, or distribute the Service; (b) reverse engineer, decompile, or attempt to derive the source code; (c) use the Service for the purpose of building a competing product; (d) remove or obscure any proprietary notices; (e) access the Service via automated means outside published APIs; (f) exceed rate limits or engage in conduct that impairs the Service for other users.
6.1 You must not use the Service to: (a) upload, store, or transmit unlawful, defamatory, infringing, or malicious content; (b) violate any person's privacy or data protection rights; (c) transmit malware, viruses, or harmful code; (d) conduct any activity that violates Malaysian law or the law of any jurisdiction where you operate.
6.2 We may suspend or terminate your access if you breach this clause or our Acceptable Use Policy.
7.1 "Your Data" means all data, files, records, and content uploaded, entered, or generated by you or your users in the Service.
7.2 You retain all right, title, and interest in Your Data. You grant us a non-exclusive licence to host, process, transmit, display, and back up Your Data solely for the purpose of providing the Service and any incidental purposes (e.g., security monitoring, aggregated usage analytics). We do not use Your Data to train artificial intelligence models. AI-assisted features within the Service are powered by third-party AI service providers operating under commercial terms that prohibit the use of customer inputs to train their models.
7.3 You are responsible for the accuracy, legality, and lawful collection of Your Data. You represent that you have the right to upload and process Your Data via the Service.
7.4 On termination, you will have a period of thirty (30) days to export Your Data via in-app export tools. After that period, we may delete Your Data, subject to retention obligations in our Privacy Policy and applicable law.
8.1 We process personal data in accordance with our Privacy Policy and the Personal Data Protection Act 2010 (as amended by the Personal Data Protection (Amendment) Act 2024).
8.2 Where you use the Service to process personal data of third parties (e.g., your employees, customers), you act as the data controller and we act as a data processor. On request, we will enter into a data processing agreement reflecting our respective responsibilities.
9.1 We will use commercially reasonable efforts to make the Service available 24/7, subject to planned maintenance, emergency maintenance, and events beyond our reasonable control. We do not commit to a specific uptime percentage unless expressly agreed in a separate service level agreement.
9.2 Support is provided via email or in-app channels during Malaysian business hours. Response times are best-effort unless otherwise agreed.
10.1 We may suspend your access if: (a) fees remain overdue for more than seven (7) days from the due date, following a written reminder; (b) you breach this Agreement; or (c) we reasonably believe your use creates a security risk or legal risk to us or other users.
10.2 Either party may terminate for material breach by the other on thirty (30) days' written notice, if the breach is not cured within that period.
10.3 Termination does not refund pre-paid fees (save where terminated for our material breach).
11.1 The Service, including all software, design, user interface, and documentation, is the exclusive property of Words Connect. Nothing in this Agreement transfers any ownership of the Service or its components to you.
11.2 You may provide feedback or suggestions. If you do, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback without restriction.
12.1 Each party shall keep the other's confidential information confidential and use it only for the purposes of this Agreement.
13.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT.
13.2 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY DEFECTS.
14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT IS LIMITED TO THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14.2 NEITHER PARTY IS LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.
14.3 Nothing in this Agreement limits liability that cannot be limited by Malaysian law (e.g., liability for death or personal injury caused by negligence, or for fraud).
15.1 You will indemnify us against any third-party claims arising from (a) Your Data; (b) your breach of this Agreement; or (c) your violation of law.
16.1 The Service may integrate with third-party services (e.g., payment processing via Stripe, AI features via our AI service provider, hosting). Your use of such third-party services is governed by the terms of those services. We are not responsible for third-party service failures. The current list of subprocessors is maintained in our Subprocessor List, available on request.
17.1 Neither party is liable for failure to perform due to events beyond its reasonable control, including natural disasters, government action, war, riot, strikes, or failure of public utilities or internet infrastructure.
18.1 We may update this Agreement. Material changes will be notified by email or in-app notice not less than thirty (30) days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
19.1 This Agreement is governed by the laws of Malaysia.
19.2 Any dispute arising out of or in connection with this Agreement shall be resolved through the following sequential steps:
20.1 Subscribers are automatically enrolled in the AiOB Tier 1 Referral Programme on acceptance of this Agreement. Subscribers may invite other parties to subscribe to the Service using a unique referral code or link issued by Words Connect.
20.2 Where a referred party becomes a paid Subscriber, the referring Subscriber is entitled to a referral commission of RM 5 per referred user per month, payable monthly for as long as the referred user maintains an active paid subscription, subject to a thirty (30) day clawback if the referred user cancels.
20.3 Commission is paid monthly, by the seventh (7th) day of the following month, subject to a minimum payout of RM 50 (accrued otherwise).
20.4 Subscribers may opt out of the Referral Programme at any time via their account settings. Opt-out does not affect commissions accrued before the opt-out date.
20.5 Use of the Referral Programme is subject to the conduct rules in the Acceptable Use Policy. The full terms of the Referral Programme, including any updates and applicable conduct rules, are published on the Words Connect website and incorporated by reference into this Agreement.
21.1 This Agreement is the entire agreement between the parties regarding the Service.
21.2 We may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets. You may not assign without our prior written consent.
21.3 If any provision is invalid or unenforceable, the remaining provisions continue in effect.
21.4 Waiver of any breach is not a waiver of any subsequent breach.
